1. Access and Use of Services
1.1 License Grant
Dream Urlaub GmbH (“Dream Urlaub”) grants authorized partners (“Client”) a non-exclusive, non-transferable license to access and use its online platform, including the B2B web portal and/or REST API (XML) integration, to purchase and distribute travel-related services such as hotels, flights, transfers, tours, and packages (“Travel Services”).
1.2 Authorized Use
The Client is permitted to use the system exclusively for providing Travel Services to its customers. Resale, sublicensing, or unauthorized third-party access is strictly prohibited.
1.3 Client Obligations
The Client must ensure transparency and accuracy in:
- Listing inclusions/exclusions for each service.
- Explaining cancellation, amendment, and “no-show” policies.
- Disclosing all applicable local taxes, resort fees, and payable charges.
2. Pricing and Payment
2.1 Pricing Policy
All rates displayed on Dream Urlaub’s B2B portal or API are net prices, exclusive of any applicable tourist or city taxes. Resort or local fees must be paid directly by the end customer.
2.2 Confidentiality of Rates
All pricing and commercial data are confidential and must not be shared with third parties.
2.3 Payment Terms
All bookings must be prepaid via Dream Urlaub’s wallet system.
- Each booking amount is deducted automatically from the Client’s wallet.
- Sufficient wallet balance must be maintained at all times.
- Failure to maintain balance may lead to booking cancellations or penalties.
2.4 Payment Responsibility
Payments must be made in full in EUR (€), free of deductions for bank or exchange fees.
2.5 Deposit or Credit Line
Dream Urlaub may offer a deposit, credit line, or bank guarantee option at its discretion. The Client must comply with any associated limits and repayment terms.
3. Cancellations and Amendments
3.1 Provider Policies
All cancellations and amendments are subject to the specific terms of the respective service providers (hotels, airlines, etc.).
3.2 Client Responsibility
The Client must comply with each supplier’s cancellation and modification timelines.
3.3 Liability
The Client assumes full financial and legal responsibility for any penalties or losses caused by non-compliance with supplier terms.
4. Term and Termination
4.1 Term
This cooperation is valid for three (3) years from the Effective Date unless terminated earlier.
4.2 Renewal
It automatically renews for one-year periods, unless either Party gives written notice of non-renewal 30 days prior to expiration.
4.3 Termination for Breach
Either Party may terminate immediately if the other materially breaches obligations and fails to cure such breach within 30 days of written notice.
4.4 Termination for Convenience
Dream Urlaub may terminate this Agreement at any time with 30 days’ written notice.
5. Force Majeure
Dream Urlaub shall not be liable for delays or non-performance due to causes beyond its control, including but not limited to natural disasters, wars, pandemics, strikes, communication failures, or non-performance by suppliers.
6. Confidentiality and Data Protection
6.1 Confidentiality
Both Parties agree to maintain confidentiality over all commercial, technical, and proprietary information exchanged during the relationship.
6.2 Data Protection Compliance
Each Party shall comply with applicable data protection laws, particularly the EU General Data Protection Regulation (GDPR) and Austria’s Data Protection Act (DSG).
6.3 Data Security
Dream Urlaub employs advanced technical and organizational measures to protect all personal data and transactions, including:
- PCI DSS Level 1 certified payment gateways
- SSL 256-bit encryption
- Secure access control for user accounts
6.4 Data Retention
Personal data will be stored only for as long as necessary to fulfill contractual or legal obligations.
6.5 Duration of Confidentiality
Confidentiality obligations remain valid for two (2) years after termination of cooperation.
7. Payments, Refunds, and Fraud Protection
7.1 Accepted Payment Methods
Payments may be made via wallet, bank transfer, or credit card before applicable cancellation deadlines.
7.2 Refund Policy
Refunds for eligible cancellations are credited to the Client’s wallet or
original payment method.
Chargebacks are not permitted for:
- Issued and used airline tickets
- Non-refundable hotel or travel services
- Services already utilized
7.3 Account Settlement
A final wallet statement will be issued upon termination. Any positive balance may be refunded upon written request.
7.4 Payment Deadlines
Dream Urlaub reserves the right to cancel bookings if payment is not received within the required timeframe.
7.5 Discrepancies
All discrepancies must be reported within 5 business days of receiving payment statements. After this period, statements are deemed accepted.
8. Disputes and Governing Law
8.1 Dispute Resolution
The Parties shall first attempt to resolve disputes amicably.
If unresolved, disputes shall be submitted to arbitration under the Vienna
International Arbitral Centre (VIAC) in Vienna, Austria.
8.2 Governing Law
These Terms & Conditions are governed by and interpreted under the laws of the Republic of Austria.
9. Miscellaneous
9.1 Entire Agreement
These Terms & Conditions and related documents constitute the entire agreement between Dream Urlaub and the Client.
9.2 Amendments
Any modification must be made in writing and signed by both Parties.
9.3 Severability
If any provision is deemed invalid, the remainder shall remain in full effect.
9.4 Notices
All communications must be made in writing and delivered to the registered addresses or official business emails of both Parties.
9.5 Language
The English version of these Terms shall prevail in case of translation discrepancies.
